As used in this Agreement, "Virtualplus" refers to Virtualplus, Inc(or any of its affiliates, agents, subsidiaries, partners, divisions, operators, assignees, distributors or any other party designated by Virtualplus Inc. at its sole discretion) and "you" means the applicant who is seeking to be a member of the Link Affliates Program, you are sometimes referred to herein as the "Linker". "Site" means a World Wide Web site and, depending on the context, refers either to Virtualplus's service site (for example Messagejet or Messagejet) or to the site that you will link to Virtualplus's site. Enrollment in the Program ------------------------- To begin the enrollment process, you must submit an application for the Program. This is presented on a form which is an irrevocable choice via Virtualplus's site. Virtualplus will evaluate your application and will notify you of your acceptance or rejection. Virtualplus may reject your application if Virtualplus determines (in Virtualplus's sole discretion) that you are unsuitable for the Program. Linking to Virtualplus ---------------------- You may provide a link on your site to a location on Virtualplus's site (to be determined by Virtualplus) in a format to be approved by Virtualplus. Virtualplus will provide you with guidelines and graphical artwork to use in linking to Virtualplus's home page. Customer Sign-up ---------------- Virtualplus will process all enrollments by customers who follow links from your site to the Virtualplus site, or who enroll from the Virtualplus Web site using your Linker ID, to be issued by Virtualplus which is collected by Virtualplus. Virtualplus reserves the right to reject enrollments that do not comply with any requirements that Virtualplus periodically may establish or that refer to special offers not authorized by Virtualplus. Policies -------- Users who sign up for Virtualplus services through you will be deemed to be s solely the users of Virtualplus. Accordingly, all Virtualplus rules, policies, and operating procedures concerning user service orders, customer service, and product sales will apply to those customers. Identification -------------- Virtualplus will make available to you a graphic image that identifies your site as a Program participant. You must display this logo or the phrase "Powered by Virtualplus " prominently on your site. Limited License --------------- Virtualplus grants you a nonexclusive, revocable license to use the icon and message described above and such other images for which Virtualplus grant express permission, solely for the purpose of identifying your site as a Program participant and to assist in generating sales of Virtualplus products and services. You may not modify the icon, the message, or any of Virtualplus's images in any way. Virtualplus reserves all of Virtualplus's rights in the icon, the message, any other images, Virtualplus's trade names and trademarks, and all other intellectual property rights. Virtualplus may revoke your license at any time by giving you written notice. Responsibility for Your Site ---------------------------- You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for the technical operation of your site and all related equipment posting Virtualplus product and services descriptions on your site and linking those descriptions, banners or graphic links to Virtualplus's site the accuracy and appropriateness of materials posted on your site ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights) ensuring that materials posted on your site are not in bad taste, libelous or illegal, Virtualplus disclaims any and all liability for these matters. Further, you will indemnify and hold Virtualplus harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site. Term ---- The terms of this Agreement will begin upon Virtualplus's acceptance of your Program application and will end when terminated by either party. Either you or Virtualplus may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Modification ------------ Virtualplus may modify any of the terms and conditions contained in this Agreement, at any time and in Virtualplus's sole discretion, by posting a change notice or a new agreement on Virtualplus's site. Modifications may include, for example, changes in the scope and amount of available commissions, fee schedules, payment procedures, and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING VIRTUALPLUS'S POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON VIRTUALPLUS'S SITE WILL CONSTITUTE YOUR BINDING ACCEPTANCE OF THE CHANGE. Notices ------- Virtualplus may give any notice provided by this Agreement to the Linker by transmitting such notice to the e-mail address that the Linker provide to Virtualplus in the initial Linker application and such notice shall be deemed received and effective 24 hours after being transmitted by Virtualplus. It is the responsibility of the Linker to provide Virtualplus with a current e-mail address for it to send notices to. Any failure of the Linker, regardless of fault, to keep Virtualplus appraise of its current e-mail address will not reduce the effectiveness of the notices served by Virtualplus to the Linker to the last e-mail address provided by the Linker. The Linker may give any notice provided for by this Agreement to Virtualplus by sending it to the appropriate address for Virtualplus to receive notices from the Linker as designated in the secured Linker support website. Such notice from the Linker to Virtualplus shall be sent by certified mail to the then current and appropriate address. Said notice sent by the Linker to Virtualplus shall be consider received at the end of the next business day it has been received on. It is the responsibly of the Linker to verify the current and appropriate address for which Virtualplus accepts notices at prior to the transmission of any notices. Relationship of Parties ----------------------- You and Virtualplus are independent contractors, and nothing in this Agreement will create any joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on Virtualplus's behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. Limitation of Liability ----------------------- Virtualplus will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if Virtualplus have been advised of the possibility of such damages. Further, Virtualplus's aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement. Disclaimers ----------- Virtualplus makes no express or implied warranties or representations with respect to the Program or any products or services sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, Virtualplus makes no representation that the operation of Virtualplus's site or Virtualplus's products and services will be uninterrupted or error-free, and Virtualplus will not be liable for the consequences of any interruptions, errors or malfunctions regardless of the cause even if due to gross negligence of Virtualplus. Independent Investigation ------------------------- YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT Virtualplus MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. Miscellaneous ------------- This Agreement will be governed by the laws of England. Any action relating to this Agreement must be brought in the English courts and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without Virtualplus's prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against you and your respective successors and assigns. Virtualplus's failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of Virtualplus's right to subsequently enforce such provision or any other provision of this Agreement. Virtualplus, may, and anticipates assignment of this Agreement to others and upon notice to you of such assignment Virtualplus shall have no further obligation under this Agreement. Virtualplus may if it decides reassignment the Agreement repeatedly on notice to you. I accept these terms
